1. Acceptance of Terms
By using the services of SHEESH Payments, LLC ("SHEESH," "we," "our," or "us"), including our invoicing and payment solutions and related SMS, MMS, or email communications (the "Services"), you agree to these Terms & Conditions (the "Terms"). If you do not agree to these Terms, do not use the Services.
2. Description of Service
SHEESH provides software that enables service technicians and other businesses ("Clients") to send invoices, process payments, and communicate with their customers via SMS/MMS, email, or other electronic methods. We use third-party providers such as Twilio to deliver certain messaging functionality.
If you are a Client, you may upload or provide customer information and configure the Services to send communications (including SMS) to your customers. If you are an end customer receiving messages, those communications may be sent by SHEESH on behalf of a Client.
3. Consent to Receive Text Messages (TCPA Compliance)
By providing your mobile number to a SHEESH Client or directly to SHEESH, you consent to receive transactional SMS/MMS messages related to invoices, payments, and related customer service from SHEESH on behalf of that business. These messages may include invoice-ready notifications, payment reminders, payment confirmations, and similar service-related updates.
These messages are not marketing or promotional messages. We will obtain a separate, explicit opt-in before sending you SMS marketing or promotional messages (if we ever offer them), and your consent to receive SMS messages is not a condition of purchase.
Message frequency may vary based on how often invoices are issued or paid and how you interact with the Services. Message and data rates may apply.
You can opt out at any time by replying "STOP"to any text message. For help, reply"HELP" or contactsupport@getsheesh.com. We will process SMS opt-out requests promptly and may send a final confirmation message to acknowledge your request.
4. Messaging Compliance for Business Users
If you are a Client using the Services to send messages to your customers, this Section applies in addition to all other Terms.
You Are the Message Sender. As between you and SHEESH, you are solely responsible for (i) selecting recipients and determining whom to contact; (ii) the content of all messages you send or cause to be sent; and (iii) the timing and frequency of those messages. SHEESH acts only as a service provider transmitting messages initiated and controlled by you.
Compliance with Laws and Industry Rules. You will use the Services in compliance with all applicable laws, rules, and regulations relating to communications, marketing, and privacy, including, as applicable, the Telephone Consumer Protection Act ("TCPA"), CAN-SPAM, state telemarketing and privacy laws, and any regulations or guidance under them, as well as industry guidelines such as CTIA Messaging Principles and Best Practices and applicable carrier rules.
Consent, Opt-Out, and Recordkeeping. Before sending any message, you will obtain all consents, authorizations, and permissions required under applicable law and industry standards from each intended recipient. This includes any specific level of consent required for transactional versus marketing messages. You will (i) clearly disclose the nature and purpose of the messages at the point of opt-in; (ii) provide a simple, conspicuous mechanism in each recurring messaging program for recipients to revoke consent (e.g., by replying STOP); (iii) promptly honor all opt-out, STOP, and similar revocation requests; and (iv) maintain records sufficient to demonstrate each recipient's consent and any subsequent revocation.
Content and Use Restrictions. You will not use the Services to send messages that are unlawful, fraudulent, deceptive, harassing, harmful, or otherwise objectionable, or that relate to categories that are prohibited or restricted under applicable laws, carrier rules, or the policies of our communications providers (currently including Twilio), such as certain content related to adult material, hate, alcohol, firearms, tobacco, controlled substances, or gambling. You will not use the Services for any purpose that is inconsistent with the use case communicated to SHEESH (for example, invoice and payment notifications) without our prior written approval and completion of any additional registration or compliance steps required by carriers.
Links in Messages. You will only include links in messages that are clear, accurate, and direct recipients to secure (HTTPS) pages that you or SHEESH control. You will not use misleading or deceptive URLs, and we may restrict the use of certain URL shorteners or domains to comply with carrier or provider policies.
Twilio and Carrier Policies. You will comply with Twilio's then-current Messaging Policy and Acceptable Use Policy, and any similar policies of our other providers and underlying carriers, each as updated from time to time. You acknowledge that violations of such policies may result in filtering, blocking, or suspension of message traffic by carriers or providers.
Registration and Verification. You agree to provide accurate information and reasonable cooperation for any messaging registrations or verifications we are required to complete, including Toll-Free Verification and A2P 10DLC campaign registration. You authorize us to submit such information to Twilio and carriers on your behalf where necessary.
Monitoring and Suspension. We are not obligated to monitor your messages, but to protect recipients, carriers, and the integrity of the Services, we may suspend, throttle, or disable all or part of your messaging if we reasonably believe that (i) your use is or is likely to be non-compliant with this Section or applicable laws/policies; (ii) your messages are causing or are likely to cause excessive complaints, blocking, or filtering; or (iii) such action is required by law, a regulator, Twilio, another provider, or a carrier. We will use commercially reasonable efforts to notify you of any such suspension and to restore the Services once the issue is resolved.
No Legal Advice. SHEESH does not provide legal advice. You are solely responsible for determining whether your use of the Services complies with all applicable laws and for consulting with your own legal counsel as necessary.
5. Carrier Disclaimer (CTIA Compliance)
Mobile carriers are not liable for delayed or undelivered messages. Message delivery depends on carrier networks, device compatibility, and other technical factors beyond our control.
6. Supported Carriers
Messaging is delivered via Twilio and is generally supported by major U.S. carriers. Availability may vary by network and location, and support may change over time based on Twilio or carrier policies.
7. Customer Support

8. Prohibited Conduct
You may not use the Services to:
- Send unauthorized, unwanted, or spam messages.
- Violate any laws, regulations, or industry standards (including the TCPA, CAN-SPAM, CTIA guidelines, and carrier rules).
- Collect, use, or disclose data without proper consent or in violation of our Privacy Policy.
- Attempt to evade messaging filters or blocks, probe networks, or otherwise interfere with the security or operation of the Services.
- Engage in any activity that could harm the reputation or deliverability of our messaging services or our relationships with carriers or providers.
9. Payment Processing
Payments are processed through third-party providers. By submitting a payment, you authorize us and our payment providers to charge your selected payment method for the amounts you approve. Additional terms from payment processors may apply, and you agree to comply with those terms.
10. Limitation of Liability
To the maximum extent permitted by applicable law, SHEESH is not liable for delays, failures, or errors in message delivery; inaccuracies in user-provided information; or any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
11. Changes to Terms
We may update these Terms & Conditions from time to time. Updates will be posted athttps://www.getsheesh.com with a revised effective date. Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms.
